1. Acceptance of Terms

Welcome to PassItOn.To ("Platform," "we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and PassItOn.To. We reserve the right to modify these Terms at any time, and we will notify users of material changes via email or platform notification.

2. Platform Description

PassItOn.To is a marketplace platform that connects knowledge seekers ("Members") with experienced professionals ("Contributors") for paid consultations, where 100% of consultation fees are donated to verified nonprofits.

Key Features:

• For Members: Book and pay for consultations with Contributors on topics of your choice
• For Contributors: Offer your expertise and designate beneficiary nonprofits
• For Nonprofits: Receive 100% of consultation fees from Contributors who select your organization
• Video Consultations: Secure, scheduled video meetings powered by Daily.co
• Text-Based Q&A Sessions: Asynchronous messaging consultations where Members submit questions and Contributors provide written responses

2.1 Independent Contractors

Important: Contributors are independent individuals, not employees, agents, or representatives of PassItOn.To. We provide the platform infrastructure, but:

• Contributors set their own rates and availability
• Contributors are responsible for the accuracy and legality of their advice
• We do not guarantee the qualifications, expertise, or suitability of any Contributor
• Members are responsible for evaluating Contributors before booking

2.2 Platform Role

PassItOn.To acts as a facilitator only. We are not a party to the consultation agreement between Members and Contributors, and we are not responsible for the quality, accuracy, or legality of advice provided. The platform may use automated processes, algorithms, and artificial intelligence to match users, provide recommendations, and improve services, but these features are provided "as is" without guarantees of accuracy or suitability for your specific needs.

3. User Accounts

3.1 Account Creation

To use the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be at least 18 years old (or the age of majority in your jurisdiction)

3.2 Account Types

Member Accounts: Individuals seeking advice and booking consultations

Contributor Accounts: Professionals offering expertise and consultations

Nonprofit Accounts: Verified charitable organizations receiving donations

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Platform. You may delete your account at any time through account settings.

4. Consultations & Bookings

4.1 Booking Process

Members may book consultations by:

• Selecting a Contributor and available time slot
• Providing consultation topic and goals
• Completing payment via Stripe (our payment processor)
• Receiving confirmation email with meeting details

4.2 Contributor Obligations

Contributors agree to:

• Maintain accurate availability schedules
• Appear for scheduled consultations on time
• Provide guidance to the best of their ability within their area of expertise
• Maintain professional conduct during consultations
• Not provide legal, medical, mental health, financial, accounting, or other regulated professional advice unless properly licensed and operating within the scope of their license
• Clearly disclose any limitations of their expertise and qualifications to Members
• Acknowledge that they are independent contractors solely responsible for their own advice and conduct
• Comply with all applicable laws and professional codes of conduct in their jurisdiction
• Not create any professional relationship (attorney-client, doctor-patient, fiduciary, etc.) with Members through the Platform
• Indemnify and hold harmless PassItOn.To from any claims arising from their advice or conduct
• Keep it generous: Never ask Members for payment, tips, gifts, or any form of compensation -- on or off the Platform. All fees go to your chosen nonprofit, and that's what makes this special.
• No self-promotion: The Platform isn't a place to advertise or sell products, services, courses, or business offerings to Members
• Keep it on PassItOn: Don't direct Members to external sites or channels for paid engagements or commercial purposes

IMPORTANT FOR CONTRIBUTORS: You are solely responsible for ensuring your consultations comply with all licensing requirements in your jurisdiction. If you provide advice in a regulated profession (law, medicine, accounting, financial planning, etc.), you must hold all necessary licenses and provide services only within the scope of your license. PassItOn.To is not responsible for verifying your credentials or ensuring your compliance with professional regulations.

4.3 Member Obligations

Members agree to:

• Attend scheduled consultations on time
• Treat Contributors with respect and professionalism
• Not record consultations without explicit consent
• Not request illegal, unethical, or inappropriate advice

4.4 No Professional Relationship

Consultations on the Platform—whether video sessions or text-based Q&A—do not create any professional relationship (attorney-client, doctor-patient, advisor-client, etc.). Information shared is for educational and informational purposes only. You should consult licensed professionals for specific advice.

5. Payment & Fees

5.1 Pricing

Contributors set their own consultation rates. All prices are displayed in USD and include applicable taxes.

5.2 Payment Distribution

When a Member pays for a consultation:

• 100% of consultation fee goes to the Contributor's designated nonprofit
• 3% platform fee charged to the Member (on top of consultation fee)
• 5% platform fee charged to the Contributor (deducted from nonprofit donation)
• Optional tip to support platform operations (100% goes to PassItOn.To)

5.3 Payment Processing

All payments are processed through Stripe. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card information.

5.4 Refund Policy

No-Show by Contributor: If a Contributor fails to appear for a scheduled consultation without 24-hour notice, you will receive a full refund.

No-Show by Member: If a Member fails to appear for a scheduled consultation, no refund will be issued. The donation to the nonprofit still occurs.

Cancellations: Cancellations made more than 24 hours before the scheduled consultation are eligible for a full refund minus payment processing fees. Cancellations made less than 24 hours before the consultation are not refundable.

Disputes: If you believe you are entitled to a refund not covered above, contact us at [email protected] within 7 days of the consultation.

6. Nonprofit Verification

Nonprofits must apply and be verified before appearing on the Platform. We verify 501(c)(3) status (or equivalent) and maintain three tiers:

• Pending: Application submitted, under review
• Verified: Approved and available for selection
• Featured: Highlighted nonprofits with strong track records

We reserve the right to deny or revoke nonprofit status at our discretion if we discover false information or violations of our policies.

7. Ratings and Reviews

7.1 Leaving Reviews

After completing a consultation, Members may leave a rating (1-5 stars) and written review evaluating their experience with a Contributor. Reviews must be:

• Honest and based on your actual experience
• Free from offensive, defamatory, or inappropriate language
• Focused on the consultation experience (not personal attacks)
• Compliant with these Terms and applicable laws

7.2 Review Ownership and Usage

Reviews are considered user-generated content and feedback. By submitting a review, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and use your review to operate and promote the Platform.

Reviews reflect the opinions of individual users only and do not represent the views of PassItOn.To. We do not verify the accuracy of reviews, but we reserve the right to remove reviews that violate these Terms.

7.3 Review Moderation

We may remove or edit reviews that:

• Contain profanity, hate speech, or discriminatory content
• Include personal information (phone numbers, email addresses)
• Violate intellectual property rights
• Appear to be fraudulent or manipulated
• Violate any part of these Terms

8. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

8.1 Illegal and Harmful Activities

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading conduct
• Harass, threaten, abuse, discriminate against, or harm other users
• Post content that is defamatory, obscene, pornographic, violent, offensive, or hateful
• Impersonate any person or entity, or falsely represent your affiliation
• Solicit or facilitate illegal activities

8.2 Keeping PassItOn True to Its Mission

PassItOn.To was built on a simple idea: people helping people, with every dollar going to charity. That only works if the platform stays free of commercial motives. We ask everyone to honor that spirit.

Contributors are here to share their knowledge generously -- not to build a client list or generate business. To protect that trust, the following are not permitted:

• Asking Members for money. Contributors may never request, solicit, or accept any form of payment, tip, gift, or compensation from Members -- whether on or off the Platform. All session fees are processed through PassItOn and go directly to the Contributor's chosen nonprofit.
• Promoting or selling products, services, courses, coaching programs, or business offerings to Members through your profile, during sessions, or via messages
• Directing Members to external websites or platforms for the purpose of paid engagements or commercial transactions
• Using sessions as a way to recruit Members as customers, clients, or business leads
• Collecting Members' personal contact information for commercial purposes

We know the vast majority of Contributors are here for the right reasons -- and we appreciate that. These guidelines exist to protect the community and keep PassItOn a place where generosity comes first. If we find activity that goes against this spirit, we may need to suspend or close the account involved.

8.3 Platform Misuse

• Attempt to circumvent platform fees or payment systems
• Solicit personal contact information to conduct transactions off-platform
• Use the Platform for any commercial purpose not expressly permitted
• Create multiple accounts to manipulate ratings, reviews, or bookings
• Post false, misleading, or fraudulent information in profiles or reviews
• Share account credentials or transfer your account to another person

8.4 Technical Violations

• Access non-public areas of the Platform or tamper with our systems
• Breach or test the vulnerability of any security or authentication measures
• Scrape, crawl, or use automated tools to access the Platform without authorization
• Interfere with or disrupt the Platform's operation or servers
• Upload viruses, malware, or any malicious code
• Reverse engineer, decompile, or disassemble any software used to provide the Platform
• Use the Platform to build a competitive product or service

8.5 Intellectual Property Violations

• Infringe or misappropriate any intellectual property or proprietary rights
• Use our name, trademarks, logos, or branding without permission
• Copy or mirror any portion of the Platform without authorization

8.6 Enforcement

We reserve the right to investigate violations, remove content, suspend or terminate accounts, and cooperate with law enforcement. We may, but are not obligated to, monitor user activity and content for compliance with these Terms.

9. Intellectual Property

9.1 Platform Content

The Platform, including its design, features, code, and branding, is owned by PassItOn.To and protected by copyright, trademark, and other intellectual property laws.

9.2 User Content

You retain ownership of content you create (profile information, bios, consultation descriptions). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating the Platform.

9.3 Consultation Content

Consultations—including video sessions and text-based Q&A exchanges—are confidential between Members and Contributors. Recording video consultations without consent is prohibited. Information shared during any type of consultation may not be used for commercial purposes without explicit written permission.

10. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

We use Supabase for data storage, Daily.co for video meetings, and Stripe for payment processing. Each of these services has its own privacy policy governing their use of your data.

11. Disclaimers

11.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Responsibility for Contributor Advice

WE DO NOT ENDORSE, VERIFY, OR GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR QUALITY OF ANY ADVICE, INFORMATION, OR GUIDANCE PROVIDED BY CONTRIBUTORS. Contributors are independent third parties, not our employees or agents. We have no control over:

• The qualifications, credentials, or expertise of Contributors
• The accuracy, legality, or appropriateness of advice given during consultations
• The conduct or behavior of Contributors during consultations
• The results, outcomes, or consequences of following advice from Contributors

YOU ACKNOWLEDGE AND AGREE THAT:

• You are solely responsible for evaluating Contributors before booking consultations
• You use any information or advice received at your own risk
• We are not liable for any decisions or actions you take based on Contributor advice
• Any reliance on information from Contributors is strictly at your own discretion and risk
• Contributors may lack qualifications in regulated professions (law, medicine, finance)

11.3 No Guarantee of Results

We do not guarantee that consultations will meet your expectations or solve your problems. Contributors provide advice based on their experience, but outcomes vary and success is not guaranteed.

11.4 Third-Party Services

We rely on third-party services (Daily.co, Stripe, Supabase) for core functionality. We are not responsible for outages, errors, or issues caused by these third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PASSITON.TO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO PASSITON.TO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless PassItOn.To, its officers, directors, employees, agents, Contributors, and nonprofit partners from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

• Your use or misuse of the Platform and Services
• Your violation of these Terms or any applicable laws
• Your violation of any rights of another party
• Any advice, information, or guidance you receive from Contributors during consultations
• Any decisions or actions you take based on information or advice received through the Platform
• Any content you submit, post, or transmit through the Platform
• Your interactions with other users, Contributors, or nonprofits
• Any claim that advice given by a Contributor constitutes professional services (legal, medical, financial, or otherwise) requiring licensure

For Contributors: By offering consultations on the Platform, you agree to indemnify and hold harmless PassItOn.To from any claims arising from your advice, guidance, or services provided to Members, including but not limited to claims of professional malpractice, negligence, breach of duty, or unauthorized practice of regulated professions.

This indemnification obligation will survive termination of your account and these Terms.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If informal resolution fails, you agree that any dispute arising from these Terms or the Platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in California.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to modified Terms, you must stop using the Platform and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
